By accessing or using CodePulse ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and CodePulse. By creating an account, accessing any part of the Service, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by them.

2. Description of Service

CodePulse is an AI code intelligence platform designed for engineering leaders. The Service provides analytics on code quality, developer productivity, AI-generated code tracking, license utilization, and related metrics by integrating with your source code management and project tracking tools. CodePulse may offer different subscription tiers with varying levels of functionality, data retention, and support.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying CodePulse immediately of any unauthorized use of your account
  • Ensuring that all users within your organization comply with these Terms

CodePulse reserves the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to transmit malicious code, viruses, or harmful data
  • Resell, sublicense, or redistribute the Service without prior written consent
  • Use automated means to scrape, crawl, or extract data from the Service beyond its intended APIs

5. Intellectual Property

The Service, including its original content, features, and functionality, is owned by CodePulse and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain all rights to the data and code you provide to the Service. CodePulse claims no ownership over your source code, repositories, or proprietary data. Our use of your data is strictly limited to providing and improving the Service as described in our Privacy Policy.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using CodePulse, you consent to the collection and use of information as described therein. CodePulse accesses metadata from your connected integrations (such as commit history, pull request data, and issue tracking information) solely to provide the analytics and insights described in the Service. We do not store the full contents of your source code unless explicitly required for a feature you have enabled. You may request deletion of your data at any time by contacting our support team.

7. Payment Terms

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay all fees associated with your chosen tier. Subscription fees are billed in advance on a monthly or annual basis depending on your selected billing cycle. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. CodePulse reserves the right to change subscription pricing with thirty (30) days advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Termination

You may terminate your account at any time by contacting support or using the account settings within the Service. CodePulse may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. CodePulse will make your data available for export for thirty (30) days following termination, after which it may be permanently deleted. Provisions of these Terms that by their nature should survive termination shall remain in effect.

9. Limitation of Liability

To the maximum extent permitted by applicable law, CodePulse and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service. In no event shall CodePulse's total liability exceed the amount you have paid to CodePulse in the twelve (12) months preceding the event giving rise to the claim. The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware. You agree to submit to the personal jurisdiction of such courts.

11. Changes to Terms

CodePulse reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by sending you an email notification. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically for any updates.
